TERMS AND CONDITION OF SALE

Iduron acknowledges receipt of Buyer’s order, and accepts Buyer’s order expressly conditional on Buyer’s assent to the terms and conditions herein contained, whether additional to or different from those in Buyer’s purchase order or any other form of document heretofore or hereafter supplied by Buyer to Iduron.

Terms

Terms are net 15 days F.O.B. our shipping point. We reserve the right not to accept the cancellation of orders.


Prices and Payment

All prices are listed in pounds sterling, euros and US dollars. Duty, applicable taxes, freight charges and any special packaging charges are excluded and will be added to the invoice. Products and prices are correct at the time of printing but are subject to change without notice.
Our payment terms are 30 days from the date on the invoice. Payment may be made by cheque in pounds sterling, euro or US dollars or by electronic transfer. Where payment is made by electronic transfer we will not accept deduction of the customer’s own bank charges. Where payment is made in a currency other than that quoted on the invoice, we will only accept the rate of exchange quoted that day in the Financial Times or Wall Street Journal.


Shipping

Small orders will be sent by mail or registered mail. Most orders will be sent by Royal Mail International signed for. The courier charges will be added to the invoice. Customers may opt to pay courier charges using their own account by supplying the account number and any other relevant details. The Buyer shall meet the cost of any special packaging requested by the Buyer for any packaging rendered necessary for delivery by any means other than the Seller’s normal means of delivery. Iduron shall not be liable in any respect for failure or delay in shipment of products.

Lost or Damaged Shipments

Products are sold F.O.B. shipping point, fully insured at the buyer’s expense. However, if assistance is required in filing a claim for a lost, incomplete or damaged shipment we will be happy to help you.

Toxicity and Hazards

All or our chemicals should be handled by qualified personnel only; trained in laboratory procedures, and familiar with potential hazards. Information is not available on the possible hazards of many compounds. The absence of a warning must not be interpreted as indication of safety.
Our products are not intended for human consumption, drug use or any form of human experimentation.
The ultimate responsibility for the proper handling of any and all chemical lies with the user. All goods sold by Iduron carry the condition that liability for any injury, loss or damage whatsoever to persons or real property resulting from the handling or the said good lies with the user. Acceptance of our goods binds the customer to these terms.

Storage

Our products are sold as freeze dried or crystalline solids or more rarely as frozen or liquid solutions. Most products are stable for several weeks at room temperature, provided they are not opened and the seal is not broken. We do recommend that all products are stored frozen at –15 to –20 degrees Celsius upon receipt and that they are allowed to warm to room temperature before opening. If made up into solution avoid repeated freeze-thawing. Stock solutions should be prepared in appropriate aliquots and stored frozen.

Warranties

Iduron warrants that its products shall conform to the description of such products as provided in Iduron’s catalogue. This warranty is exclusive, and seller makes no other warranty, expressed or implied, including any implied warranty of merchantability or fitness for any particular purpose.
Iduron’s sole and exclusive liability and Buyer’s exclusive remedy with respect to products proved to Iduron’s satisfaction to be defective or nonconforming shall be the replacement of such products without charge or refund of the purchase price, at the sole discretion of Iduron, upon the return of such products in accordance with Iduron’s instruction. Iduron shall not be liable for any incidental, consequential or contingent damages.
Buyer must notify Iduron within five days after the products have been received or such products shall be deemed to have been accepted.
No license or immunity under any patent is granted or is to be implied by or from the sale of any product.

Use of products

Iduron’s products are intended primarily for laboratory research and manufacturing purposes, and unless otherwise indicated are not to be used for any other purposes. Buyer agrees to indemnify and hold Iduron harmless from and against any and all losses, damages and expenses whatsoever or howsoever caused, arising from any use of the product by Buyer, and assumes all risk and liabilities resulting form the use of the products whether used singly or in combination with other products.
